Job Details for the Senior Legal Counsel;

– As a Senior Legal Counsel you will provide broad legal advice and assistance to the business in the UK & Ireland and may work together in project teams with colleagues in my client’s HQ in the Netherlands and abroad.
– As a Senior Legal Counsel you will be responsible for negotiating and drafting a broad range of commercial (cloud) software agreements, service and support agreements, R&D agreements, NDA’s, LOI’s, purchase agreements and lease agreements. Furthermore, you will be involved in setting up joint ventures and of possible acquisitions and will be responsible for keeping the corporate housekeeping of our North American entities up to date.
– While acting as a Senior Legal Counsel, you will work closely together with you colleagues in the legal department. You will enhance legal awareness in the business, by providing training and advising management on relevant legal development that could affect our business. Some international travel will be required.
– You will be part of a global legal team of 10 people, reporting directly to the General Legal Counsel in the Netherlands.

Key tasks and responsibilities of the Senior Legal Counsel;

– Draft, review and (support to) negotiate various commercial contracts, including software license, SaaS and services contracts, based on standard framework agreements in UK & Ireland region.
– Draft, review and (support to) negotiate partner agreements in the UK & Ireland region.
– Review and advise on procurement contracts.
Offer legal support to finance, HR, IT and particularly procurement, in matters relating to the UK & Ireland region, including debt collection, employment matters and procurement contracts.
– Proactively advise management on possible changes in legislation that could affect the business operations.
– Actively support the implementation and adherence to company policies and procedures.
– Provide training to the business on ad hoc basis on important topics, like SaaS and sales agreements, data protection, privacy.
– Participate in corporate (M&A) projects, including due diligence and post-merger integration.
– Provide support to the support to the businesses in UK & Ireland

Education;
Masters of Law (LLM)

It is essential to have the following:-
A minimum of 6 years post qualified experience;
in private law firm combined with experience as company lawyer in an globally operating IT company;
Experience in corporate law (company housekeeping), company law (commercial contracting), software licensing, maintenance and services agreements, subscription agreements, cloud and SaaS agreements, partner/reseller agreements, procurement and M&A
It is desirable to have the following:-
Up to date knowledge on data protection and privacy regulations, including EU & UK & Ireland Safe Harbor framework;
Experience in M&A processes, including due diligence and post-merger integration (preferably buy side);
IT savvy.
